As announced in Sumitomo Chemical’s press release titled “Reduction in the Amount of Capital Reserves That Will Increase upon the Share Exchange and Transfer of the Reduced Amount to Other Capital Surplus,” dated May 13, 2026, the Company implemented a share exchange effective August 1, 2026, in which the Company became the wholly owning parent company in the share exchange and Koei Chemical Company, Limited became the wholly owned subsidiary in the share exchange
(the “Share Exchange”). At the same time of the Share Exchange, the Company reduced the entire amount of capital reserves that had been increased as a result of the Share Exchange and transferred the amount to other capital surplus. The details are as follows. This matter will have no impact on the Company’s operating results.
Details
Amount of reduction in capital reserves: 2,399,926,534 yen, the amount of the increase in capital reserves resulting from the Share Exchange.
- (Note 1) The amount of the increase in capital reserves resulting from the Share Exchange was calculated in accordance with Article 39 of the Ordinance on Accounting of Companies, based on the fair value of the Company shares (10,603,734 shares) delivered as consideration for the Share Exchange, and amounted to 2,399,926,534 yen.
- (Note 2) This reduction in the amount of capital reserves was made concurrently with the Share Exchange, by reducing the amount of capital reserves increased as a result of the Share Exchange. Therefore, after this reduction, the amount of the Company’s capital reserves remains unchanged from the amount of capital reserves immediately prior to the Share Exchange, namely 24,294,406,131 yen
